Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Maigie website and application (the "Service") operated by Maigie Ltd ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
1. Description of Service
Maigie is an AI‑powered academic operating system designed to help users organize learning, generate study plans, manage goals, track progress, and access personalized educational resources in one coordinated workflow. The Service includes the following features:
- AI Conversational Interface: Text and voice-based chat powered by Google Gemini for learning assistance, content generation, and study support.
- Course Management: AI-generated and user-created courses with modules, topics, and progress tracking.
- Goal Setting: Create and manage learning goals with target dates and progress monitoring.
- Schedule Management: Create study schedules and time blocks with optional Google Calendar synchronization.
- Notes: Create, edit, and organize study notes with AI-powered summarization and tagging.
- Resource Recommendations: Personalized learning resources based on your courses, goals, and learning patterns.
- Voice Features: Voice-to-text transcription for notes and voice chat capabilities.
- Analytics: Study session tracking, progress analytics, and learning insights.
The Service utilizes artificial intelligence (specifically Google Gemini) to generate content, provide recommendations, and assist with learning. You acknowledge that AI-generated content may not always be accurate, complete, or suitable for your specific needs and should be verified independently. Maigie is a study aid tool, not a replacement for professional instruction, official educational materials, or academic credentials.
2. Accounts and Registration
To access certain features of the Service, you must register for an account. You may create an account by:
- Providing your email address and creating a password
- Signing in with your Google account (OAuth authentication)
When you create an account, you must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
Account Security: You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your account, whether your password is with our Service or a third-party service (such as Google OAuth). You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Age Requirement: You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service and that they have agreed to these Terms on your behalf.
Account Responsibility: You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account. You agree to immediately notify us of any unauthorized use of your account.
3. Subscriptions and Billing
3.1 Subscription Tiers
The Service offers the following subscription tiers:
- Free Tier: Limited access to basic features including limited AI chat (subject to daily and monthly limits), basic course creation (limited number), basic goal setting (limited number), and standard features. Voice AI features are not available on the Free tier.
- Premium Monthly: Full access to all features including unlimited AI chat, voice features, unlimited courses, goals, schedules, advanced analytics, and priority support. Billed monthly.
- Premium Yearly: Same features as Premium Monthly with annual billing at a discounted rate.
We reserve the right to modify subscription tiers, features, and pricing at any time. Changes to pricing will not affect your current billing cycle but will apply to subsequent renewals.
3.2 Billing and Payment
Premium subscriptions are billed on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select. You will be billed in advance at the beginning of each Billing Cycle.
Payment Processing: Payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you authorize us to charge your payment method for subscription fees. You agree to provide accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information.
Automatic Renewal: At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal at any time through your account settings or by contacting our customer support team.
Failed Payments: If payment fails for any reason, we may suspend or terminate your Premium subscription and downgrade your account to the Free tier. You remain responsible for any outstanding amounts.
3.3 Cancellation and Refunds
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access to Premium features until the end of your paid period. After cancellation, your account will be downgraded to the Free tier.
Refund Policy: We do not provide refunds for partial billing periods or unused portions of subscriptions. Refunds may be considered on a case-by-case basis for exceptional circumstances at our sole discretion. If you believe you are entitled to a refund, please contact us at [email protected].
Downgrade Effects: When downgrading from Premium to Free tier, you may lose access to certain features and data. We recommend exporting your data before downgrading. Some content created using Premium features may become inaccessible or read-only.
4. User Content and AI-Generated Content
4.1 User Content
Our Service allows you to create, upload, store, and share certain information, text, graphics, notes, courses, goals, schedules, and other material ("User Content"). You are solely responsible for the User Content that you create or upload to the Service, including its legality, reliability, accuracy, and appropriateness.
By posting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, modify, reproduce, distribute, and display such User Content solely for the purpose of providing and improving the Service. You retain all ownership rights to your User Content.
Prohibited Content: You agree not to post User Content that:
- Violates any law, regulation, or third-party rights (including intellectual property, privacy, or publicity rights)
- Is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Contains viruses, malware, or other malicious code
- Is spam, unsolicited advertising, or promotional material
- Impersonates any person or entity or misrepresents your affiliation with any person or entity
4.2 AI-Generated Content
The Service uses Google Gemini AI to generate content including courses, notes, summaries, recommendations, and responses. AI-generated content is provided "as is" and we make no warranties regarding its accuracy, completeness, or suitability for your purposes.
Ownership: You own the AI-generated content created specifically for your account. However, you acknowledge that similar content may be generated for other users, and we do not guarantee uniqueness of AI-generated content.
Verification: You are responsible for reviewing, verifying, and editing all AI-generated content before relying on it for educational, professional, or personal purposes. AI-generated content should not be used as a substitute for professional advice, official educational materials, or academic credentials.
4.3 Content Removal
We reserve the right to remove or disable access to any User Content or AI-generated content that violates these Terms or that we determine, in our sole discretion, is harmful, offensive, or inappropriate. We are not obligated to monitor User Content but may do so at our discretion.
5. Intellectual Property
The Service and its original content (excluding User Content), features, functionality, design, logos, trademarks, and trade names are and will remain the exclusive property of Maigie Ltd and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other laws of the United Kingdom and foreign countries.
License to Use: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes.
Restrictions: You may not:
- Copy, modify, distribute, sell, or lease any part of the Service
- Reverse engineer or attempt to extract the source code of the Service
- Use our trademarks, logos, or trade dress without our prior written consent
- Remove any copyright, trademark, or other proprietary notices from the Service
- Use the Service for any commercial purpose without our express written permission
Third-Party Intellectual Property: The Service may include third-party content, software, or services (such as Google Gemini AI, Google Calendar API, Stripe) that are subject to their own intellectual property rights and terms of service.
6. Third-Party Services and Integrations
6.1 Google Services
The Service integrates with Google services:
- Google OAuth: You may sign in using your Google account. By doing so, you agree to Google's Terms of Service and Privacy Policy. We access only the information necessary for authentication (email, name, profile picture).
- Google Calendar: You may optionally connect your Google Calendar to sync study schedules. By connecting, you grant us permission to create a dedicated "Maigie Schedule" calendar and check your free/busy status. We do not access or modify your existing personal calendars. Your use of Google Calendar is subject to Google's Terms of Service.
- Google Gemini AI: The Service uses Google Gemini for AI features. Your interactions with AI features are subject to Google's AI usage policies and privacy practices.
We are not responsible for the availability, accuracy, or practices of Google services. Your use of Google services is at your own risk and subject to Google's terms and policies.
6.2 Payment Processing (Stripe)
Payment processing is handled by Stripe, a third-party payment processor. By making a payment, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full payment card information. Stripe handles all payment data in accordance with PCI DSS standards.
We are not responsible for payment processing errors, disputes, or issues arising from Stripe's services. Payment disputes should be directed to Stripe or your financial institution.
6.3 Voice Features and Microphone Access
The Service includes voice features that require access to your device's microphone. By using voice features, you grant us permission to access your microphone for the purpose of recording and transcribing audio. Audio recordings are processed by Google Gemini for transcription and are not permanently stored on our servers after processing.
You can revoke microphone access at any time through your browser or device settings. Disabling microphone access will prevent you from using voice features but will not affect other Service functionality.
7. AI Disclaimer and Limitations
The Service utilizes Google Gemini, a large language model and other AI technologies, to generate content, provide recommendations, and assist with learning. Important limitations and disclaimers:
- Accuracy: Maigie does not guarantee the accuracy, completeness, correctness, or usefulness of any AI-generated content. AI systems can make errors, produce inaccurate information, or generate content that is not suitable for your specific needs.
- No Professional Advice: The Service is a study aid tool, not a replacement for professional instruction, official educational materials, academic credentials, or professional advice. Do not rely solely on the Service for critical educational, professional, or life decisions.
- Verification Required: You should independently verify all AI-generated content, especially for academic, professional, or legal purposes. Always consult official sources, instructors, or professionals when accuracy is critical.
- No Guarantee of Results: We do not guarantee that using the Service will improve your academic performance, help you pass exams, or achieve any specific learning outcomes.
- Content Limitations: AI-generated content may contain biases, inaccuracies, or outdated information. The AI may not be aware of recent developments or context-specific information.
- No Liability: We are not liable for any consequences resulting from your reliance on AI-generated content, including but not limited to academic performance, professional decisions, or personal outcomes.
By using the Service, you acknowledge and agree that you will not hold Maigie responsible for any inaccuracies, errors, or consequences arising from AI-generated content.
8. Acceptable Use and Prohibited Activities
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others
- Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
- Submit false or misleading information
- Upload or transmit viruses, malware, or any other malicious code
- Collect or track personal information of others without their consent
- Spam, phish, pharm, pretext, spider, crawl, or scrape
- Interfere with or disrupt the Service or servers connected to the Service
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems
- Use the Service to compete with Maigie or to build a similar or competitive service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated systems (bots, scripts) to access the Service without our express written permission
- Circumvent or attempt to circumvent subscription limits, usage restrictions, or security measures
- Use the Service for any commercial purpose without our express written permission
Violation of these restrictions may result in immediate termination of your account and may subject you to legal liability.
9. Service Availability and Modifications
We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors, interruptions, or downtime. The Service may be unavailable due to:
- Scheduled maintenance or updates
- Technical issues or failures
- Third-party service outages (e.g., Google services, Stripe, hosting providers)
- Force majeure events
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any loss or damage resulting from Service unavailability or modifications.
We may add, remove, or modify features, functionality, or subscription tiers at any time. Changes to features or pricing will be communicated through the Service or via email, but we are not obligated to provide advance notice for all changes.
10. Links To Other Web Sites
Our Service may contain links to third-party web sites, services, or resources that are not owned or controlled by Maigie. These links may be provided by the Service (e.g., in resource recommendations) or by users in their content.
Maigie has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Maigie shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit or use.
11. Termination
11.1 Termination by You
You may terminate your account at any time by:
- Deleting your account through your account settings
- Contacting us at [email protected]
- Simply discontinuing use of the Service
If you have an active Premium subscription, cancellation will take effect at the end of your current billing period. You will continue to have access to Premium features until then.
11.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Violation of applicable laws or regulations
- Fraudulent, abusive, or illegal activity
- Non-payment of subscription fees
- Extended period of inactivity
- At our sole discretion for any other reason
11.3 Effect of Termination
Upon termination:
- Your right to access and use the Service will immediately cease
- We may delete or deactivate your account and all associated data
- You will lose access to all User Content and AI-generated content
- Any outstanding subscription fees remain due and payable
- Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability
We recommend exporting your data before terminating your account, as we may not be able to recover deleted data.
12. Disclaimer of Warranties
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Course of performance
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free operation
- Security or freedom from viruses or malware
We do not warrant that the Service will meet your requirements, achieve any intended results, be compatible with your devices or software, or operate without interruption or errors. We do not warrant the accuracy, reliability, or usefulness of any AI-generated content, recommendations, or third-party content.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAIGIE INC., NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, revenue, data, use, goodwill, or other intangible losses
- Damages resulting from your access to or use of or inability to access or use the Service
- Damages resulting from any conduct or content of any third party on the Service
- Damages resulting from any content obtained from the Service, including AI-generated content
- Damages resulting from unauthorized access, use, or alteration of your transmissions or content
- Damages resulting from reliance on inaccurate, incomplete, or misleading AI-generated content
- Damages resulting from third-party service failures (Google, Stripe, etc.)
- Damages resulting from Service interruptions, downtime, or modifications
THIS LIMITATION APPLIES WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
14. Indemnification
You agree to defend, indemnify, and hold harmless Maigie Ltd and its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with:
- Your access to or use of the Service
- Your violation of these Terms
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Your User Content
- Your reliance on AI-generated content
- Any harm or damage caused by you to any third party
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.
15. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We implement security measures to protect your data, but we cannot guarantee absolute security. You use the Service at your own risk regarding data security and privacy.
16. Export Control and International Use
The Service may be subject to export control laws and regulations. You agree to comply with all applicable export control laws and regulations, including those of the United Kingdom, the United States, and other jurisdictions that may apply to your use of the Service.
We make no representation that the Service is appropriate or available for use in all locations. If you access the Service from outside the United States, you are responsible for compliance with local laws.
17. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. We may waive any term or condition of these Terms, but any such waiver must be in writing and signed by an authorized representative of Maigie Ltd.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Maigie Ltd regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral.
19. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Dispute Resolution: Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are located outside the United Kingdom, you agree to submit to the jurisdiction of those courts.
20. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect, either by:
- Posting a notice on the Service
- Sending an email to the address associated with your account
- Displaying a prominent notice when you access the Service
What constitutes a material change will be determined at our sole discretion. Material changes may include, but are not limited to, changes to subscription pricing, significant feature modifications, or changes to dispute resolution procedures.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service and terminate your account.
